IAC Governance (2013)

IAC's board of directors proposes to improve certain ways in which the club does business.  To do so, it has prepared changes to IAC's Articles of Incorporation and By-Laws.  Before these changes can become effective, IAC members must vote to adopt them.

Below you'll find a summary of the proposed changes.  Please consider this information and vote, either by proxy or in person at IAC's annual meeting.  Your board supports this effort and encourages your vote FOR adoption.

 

About These Documents

IAC's Articles of Incorporation and By-Laws govern basic aspects of the club's business operation. These include types of membership, rights of members, conduct of meetings, elections, balloting and more.

Over the years, our Articles and By-Laws have fallen into disagreement with each other and have not kept pace with IAC's needs. Of present interest, they limit the club from taking advantage of certain communication and cost-saving efficiencies afforded us by current-day technology.

 

About the Proposed Changes

The board intends that the restated Articles of Incorporation and By-Laws accomplish these goals:

Membership:

  • Align membership types with those used by the club
  • Allow the board to adopt new membership types and to update the rights and privileges of existing types, providing that no rights of existing members are reduced or eliminated
  • Align the rights of honorary members with current practice

Voting:

  • Create the framework for Internet-based voting by the membership for director elections, future amendments to the Articles and By-Laws and any other question put before the membership for a vote

Board of directors:

  • Permit the board to act officially using written consent of at least 2/3 of the directors
  • Permit EAA fiduciary liability coverage to replace bonding the IAC treasurer
  • Permit the board to make clerical updates to the Articles as permitted by law

Language:

  • Eliminate redundant and contradictory language between the two documents
  • Remove dated and impertinent content
  • Use common terms throughout
  • Correct previous editing errors

 

How to Vote

You may vote either:

  • by returning the proxy card (included in your IAC 2013 Election Packet) with your ballot, or
  • in person at IAC's 2013 annual meeting (Friday, August 2 at AirVenture Oshkosh)

Your board has voted to put this before the membership for approval, indicating its belief that these changes are in the best interest of the club. It recommends you vote FOR adopting the restated Articles of Incorporation and By-Laws.
